These terms of service (hereinafter: "terms") govern the relationship between GrimTim (hereinafter: "provider") and the client ordering the services (hereinafter: "client").

3. Services
GrimTim provides the following services:
- Website development: design and development of professional custom websites
- SEO optimization: optimization of websites for search engines (on-page and off-page SEO)
- AI agents: development and implementation of artificial intelligence agents for process automation
- GEO optimization: optimization for local search and geographic targeting
- Maintenance and support: monthly website maintenance packages
- Redesigns and upgrades: updates to existing web solutions
4. Contract Formation
A contractual relationship is established by:
- Written confirmation of the order by the client (email, signed contract)
- Payment of a pro forma invoice or advance payment
- The start of the agreed services
Before the start of the project, the provider prepares a detailed offer describing the scope of work, timelines, and price.
5. Prices and Payment
Service prices are determined according to the price list published on the website or in an individual offer.
- Payment term: 15 days from invoice issue, unless agreed otherwise
- Advance payment: for new projects, an advance payment of 30-50% of the project value is required
- Final payment: the remaining amount is due before publication or handover of the project
- Maintenance: monthly packages are billed in advance
- Late payment interest: statutory default interest applies in case of late payment
6. Delivery Timelines
Indicative timelines are defined in the offer or contract. Timelines depend on:
- Timely delivery of all required materials by the client
- The client's response speed to questions and approval requests
- The complexity of the project
The provider will make every effort to meet the agreed deadlines but is not responsible for delays caused by the client.
7. Client Obligations
The client agrees to:
- Provide all required materials in a timely manner (content, logos, photos, access credentials)
- Respond to provider communication in a timely manner
- Ensure the accuracy of all information provided
- Pay invoices on time
- Respect third-party intellectual property rights in any materials supplied to the provider
8. Copyright and Ownership
Ownership of the completed website or product transfers to the client after full payment of the project.
GrimTim reserves the right to:
- Reference the completed project in its portfolio (unless explicitly prohibited by the client)
- Publish references on the website (with the client's consent)
The client is solely responsible for the legality of the content submitted for publication on the website.
9. Confidentiality
Both parties agree to protect confidential information received during the business relationship. The confidentiality obligation remains in effect during the contract and for 3 years after its termination.
10. Warranty and Complaints
GrimTim provides:
- A 30-day warranty period for fixing technical issues after project delivery
- Changes resulting from later client requests are charged separately
Complaints must be submitted in writing to info@grim-tim.com within 30 days of discovering the issue.
11. Limitation of Liability
GrimTim is not liable for:
- Loss of data caused by the client's actions or omissions
- Any damage caused by interruptions in the operation of third-party servers
- Results of SEO or marketing campaigns (organic results are not guaranteed)
- Content published on the website by the client after project handover
12. Termination of Contract
The contract terminates:
- Upon successful delivery of the completed project and settlement of all obligations
- With 30 days' written notice (for maintenance agreements)
- By mutual agreement of both parties
If the client cancels during project execution, the client must pay the proportional value of work already completed.
13. Personal Data Protection
Personal data is processed in accordance with the GDPR and our Privacy Policy, available at https://grim-tim.com/en/privacy.
14. Dispute Resolution
Any disputes will first be resolved amicably. If no agreement is possible, the competent court in the Republic of Slovenia shall have jurisdiction. Slovenian law applies to all disputed matters.
15. Changes to the Terms
GrimTim reserves the right to amend these terms. Clients will be informed of material changes in writing or through the website. Continued use of the services after publication of the changes constitutes acceptance of the updated terms.
